Terms of Service

1. The service

NeuralAccel provides an API that runs open-weights language models on hardware we operate. By sending requests you agree to these terms.

2. Acceptable use

You may not use the service to:

• generate content that is illegal where you or your users are located;
• generate sexual content involving minors, or content that sexualises minors in any form;
• create malware, credential-harvesting material, or content intended to gain unauthorised access to systems;
• harass, defame, or impersonate real people or organisations;
• disrupt, overload, or reverse-engineer the service, or circumvent rate limits or authentication.

We may suspend access for violations. Where practical we will tell you why.

3. Model terms

The models we serve are third-party open-weights models under their own licences. Your use of model outputs is subject to those licences and to the model provider's acceptable-use policy where one applies. We do not grant rights we do not hold.

4. Outputs

Model outputs are generated statistically and may be inaccurate, incomplete, or offensive. They are not professional advice. You are responsible for reviewing outputs before relying on them, and for any use you make of them. As between you and us, you own your inputs and outputs to the extent permitted by the underlying model licence.

5. Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, and capacity is finite — requests may be rejected with HTTP 429 when we are at capacity. Unless a separate written agreement says otherwise, the service is provided without a service-level agreement.

6. Pricing and billing

Pricing is as published on the platform through which you access the service. We may change prices with notice. Usage is measured in tokens as reported in the usage field of each response.

7. Warranty disclaimer

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by law, NeuralAccel is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total aggregate liability arising out of or relating to the service will not exceed the greater of (a) one hundred US dollars (USD 100) or (b) the amounts you paid us in the three months preceding the event giving rise to the claim.

9. Indemnity

You will indemnify and hold NeuralAccel harmless from claims arising out of your use of the service in violation of these terms or applicable law.

10. Termination

Either party may stop using or providing the service at any time. Sections 3, 4, 7, 8, 9, 13 and 14 survive termination.

11. Changes to these terms

We may update these terms. The date above will change, and material changes will be communicated to active API customers. Continued use after a change constitutes acceptance.

12. Age requirement

You must be at least 18 years old, or the age of majority where you live, to use the service.

13. Export and sanctions

You may not use the service in violation of US export-control or sanctions law, and you represent that you are not located in, or ordinarily resident in, an embargoed jurisdiction, and are not on any US restricted-party list.

14. Governing law and venue

These terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in California.
